the nature of the work performed and the mount and types of fees incurred (e.g. right-of- <br /> <br />way fees, inspection fees or permit fees). A copy of the contractor's invoice shall be attached <br /> <br />to each monthly invoice to Chesapeake. Chesapeake shall also be liable to Portsmouth for <br /> <br />any additional costs, fees; or expenses, of whatever type, reasonably incurred by reason of <br /> <br />Chesapeake not making timely payment to Portsmouth. Nothing in this Amendment shall <br /> <br />relieve Portsmouth of its duty to mitigate any damages incurred under this or any other <br /> <br />paragraph of this Amendment. <br /> <br /> 13. DISPUTE RESOLUTION. In the event that either party disputes any action <br /> <br />or inaction of the other party under this Amendment, or if there is any other controversy <br /> <br />between the parties under this Amendment, the parties shall endeavour to use arbitration~ <br /> <br />The method of arbitration shall be appropriate for the nature of the dispute, and it may <br /> <br />involve a professional arbitration service, a mutually acceptable expert or panel of experts <br /> <br />on the subject matter in dispute, or some other method of arbitration. <br /> <br /> 14. AUDITS, RECORDS AND REPORTS. Portsmouth agrees to keep proper <br /> <br />financial and operating records and books of account, in accordance with generally accepted <br /> <br />accounting principles and standards of the Government Finance Officers Association, <br /> <br />pertaining to Portsmouth's obligations under this Amendment. Such records and books of <br /> <br />account shall be open to audit by Chesapeake at all reasonable times. Portsmouth shall <br /> <br />supply Chesapeake with a copy of the results of any audit of the financial affairs, operating <br /> <br />records and books of account relating to the actual cost of the improvements, as defined in <br /> <br />Paragraph 11 of this Amendment, within 15 days of receiving such audit results. Chesapeake <br /> <br />shall have the option, at its own cost and expense, of commissioning the preparation of an <br /> <br /> 8 <br /> <br /> <br />
