obligations under CTA Agreement in a timely fashion. Such additional funding will be subject <br /> <br /> to past or future appropriation by Portsmouth City Council. <br /> <br /> 1.7 Moral Obligation. All obligations imposed on the City hereunder, of whatever <br /> <br /> type, shall be subject to and are expressly conditioned upon funds being appropriated for such <br /> <br /> purpose by Portsmouth City Council and shall not at any time constitute a legal obligation of the <br /> <br /> City unless, and to the extent, funds are appropriated. <br /> <br /> 1.8 Limited Liability of PRHA and the IDA. It is the intent of the parties that this <br /> <br /> Agreement will not impose upon PRHA or the IDA any responsibility other than those expressly <br /> <br /> imposed by the CTA Agreement. <br /> <br /> ARTICLE II <br /> <br /> GENERAL PROVISIONS <br /> <br /> 2.1 Severability of Invalid Provisions. If any clause, provision or section of this <br /> <br />Agreement is held to be illegal or invalid by any court, the invalidity of the clause, provision or <br /> <br />section will not affect any of the remmning clauses, provisions or sections, and this Agreement <br /> <br />will be construed and enforced as if the illegal or invalid clause, provision or section had not <br /> <br />been contained in it. Notwithstanding the foregoing, if the City's obligation to provide funding <br /> <br />for the Project is held invalid by a court of competent jurisdiction, this Agreement will terminate <br /> <br />and PRHA and the IDA may take whatever steps they deem necessary or appropriate to rmnimize <br /> <br />their acmai or perceived liability in connection with the CTA Agreement. <br /> <br /> 2.2 Notices. All notices, certificates, requests or other communications under this <br /> <br />Agreement must be in writing and will be deemed given, unless otherwise required, when mailed <br /> <br />by first-class, registered or certified mail, return receipt requested, to the addresses set forth <br /> <br /> <br /> <br /> <br /> <br />
