CERTIFICATE OF PUBLIC HEARING The undersigned Secretary-Treasurer of the Portsmouth Redevelopment and Housing Authority (the "Authority") hereby certifies as follows: 1. A special meeting of the Board of Commissioners of the Authority was duly held at 12:10 o'clock'noon on February 20, 2001, before the Authority, in the Commissioners' Conference Room.on the 3rd Floor of the New Kirn Building located at 339 High Street, Portsmouth, Virginia 23704. The meeting was open to the public. At such meeting all of the Corranissioners of the Authority were present or absent as indicated on Exhibit 1. 2. The Chairman announced the commencement of a public hearing on the application of Merrifield Apartments, LP, a Virginia limited partnership, and announced that a notice of the hearing was published once a week for two consecutive weeks, the first publication being not more than 28 days nor less than 14 days prior to the hearing, in The Virginian-Pilot, a newspaper having general circulation in the City of Portsmouth, Virginia (the "Notice"). A copy of the Notice attached to a Proof of Publication of such Notice has been filed with the records of the Authority and is attached hereto as Exhibit 2. 3. The individuals noted on Exhibit 3 appeared and addressed the Authority. A reasonably detailed summary of their statements, together with the Fiscal Impact Statement required by the Code of Virginia of 1950, as amended, ander the Industrial Development and Revenue Bond Act are attached hereto as Exhibits 3 and 4, respectively. 4. Attached hereto as Exhibit 5 is a tree. correct and complete copy of a resolution the "Resolution") adopted at such meeting of the Authority by the vote of the Commissioners present at such meeting as indicated on Exhibit I The Resolution constitutes all formal action taken bv the Authority at such meeting relating to matters referred to in the Resolution.
